Live Training Terms and Conditions

These terms and conditions are subject to change. Interface is not responsible for notifying customers of changes to these terms and conditions.
These Live Training Terms and Conditions (“Terms”) set forth the basis upon which Gainshare Inc., dba Interface Technical Training an Arizona corporation (“Interface”) will provide training classes (“Training”) using course materials (“Interface Course Materials”) at specified locations and times agreed with you pursuant to an order from entered into between you (“you” or “Customer”) and Interface.
These terms and conditions are subject to change. Interface is not responsible for notifying customers of changes to these terms and conditions.
Interface may cancel or reschedule a class, including a component of a Bundle, at its discretion. In the event of such cancellation, Interface will use commercially reasonable efforts to provide notice of such cancellation prior to the class start date. Customer will not be charged for the Interface cancellation or rescheduling. Interface is not liable for expenses incurred for Customer’s travel expenses or hotel accommodations in the event that Interface cancels or reschedules an event.
1. Ordering.
Customer shall provide Interface with enrollment and payment for Training as mutually agreed to by the parties by time to time. All requests placed by Customer shall be governed by these Terms, and any terms set forth in Customer’s ordering document in addition to or inconsistent with these Terms shall be of no force or effect. These Terms supersede all prior statements, representations, discussions, negotiations and agreements by the parties, both oral and written. All requests are subject to Interface’s acceptance. Training shall commence on the dates specified by Interface in its acceptance.
2. Payment.
Customer agrees to pay for Training according to Interface’s published prices current as of the date of Interface’s acceptance of Training request. All payments, whether by credit card or other form acceptable by Interface must be received at least ten (10) business days prior to the commencement of Training. For reservations made within ten (10) business days of Training, payment must be received prior to the commencement of Training. At Interface’s discretion, Customer may qualify for Interface’s credit terms, in which case payment will be due thirty (30) days from date of Interface’s invoice. Any overdue amounts shall be subject to a finance charge at the rate of 1.5% per month commencing on the date such amount becomes overdue, or the highest rate permitted by applicable law, whichever is lower. All applicable local sales or use taxes, duties and other imposts, if any, due on account of purchases hereunder shall be paid by Customer.
3. Responsibility of Customer.
3.1. Prerequisite requirements. Interface reserves the right to refuse or limit any services for Training if a Customer fails to satisfy the requirements for a Training course as published or provided to Customer by Interface prior to the start of such course. In such cases no refund or cancellation fee will be paid.
3.2. Good conduct. Interface reserves the right to refuse, limit or cancel any Training if a Customer in the opinion of Interface has displayed unreasonable behavior or is deemed to be violent, abusive or disruptive. In such cases no refund or cancellation fee will be paid.
4. Cancelling of Training.
Interface may cancel or reschedule a class, including a component of a Bundle, at its discretion. Customer will not be charged for the Interface cancellation or rescheduling. 5. Ownership of Materials.
Ownership of all copyright and other intellectual property rights in the Interface Course Material, including any documentation, data, technical information and know-how provided to Customer as part of the Training remains vested in the owner of the Course Materials. All such information shall be held in confidence and may not be disclosed or copied to third parties, without the express written permission of Interface.
6. Warranty.
Interface warrants that its personnel are suitably qualified and experienced to perform Training. Except as expressly represented otherwise, and to the extent not prohibited by law, all Training, including any documentation, publications, software programs or code, and other information provided by or on behalf of Interface or its suppliers to Customer is furnished on an “AS-IS” basis, without warranty of any kind, whether express, implied, statutory or otherwise especially as to quality, reliability, timeliness, usefulness, sufficiency and accuracy. ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES OF CONDITION, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED BY INTERFACE AND ITS SUPPLIERS. NO ORAL OR WRITTEN INFORMATION PROVIDED BY INTERFACE SHALL CREATE A WARRANTY UNLESS INCORPORATED INTO THESE TERMS.
7. Limitation of Liability.
TO THE EXTENT NOT PROHIBITED BY LAW, INTERFACE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL OR OTHER INDIRECT DAMAGES, SUCH AS LOST PROFITS, ARISING FROM THESE TERMS EVEN IF INTERFACE HAS KNOWLEDGE OF THE LIKELIHOOD OF SUCH DAMAGES. IN THE EVENT THAT INTERFACE SHALL FAIL TO PROVIDE TRAINING IN ACCORDANCE WITH THESE TERMS, INTERFACE’S ENTIRE LIABILITY AND CUSTOMER’S EXCLUSIVE REMEDY FOR BREACH OF THESE TERMS SHALL BE FOR INTERFACE TO USE ITS REASONABLE EFFORTS TO REPERFORM THE TRAINING WITHIN A REASONABLE PERIOD OF TIME; PROVIDED, THAT IN THE EVENT INTERFACE IS UNABLE TO REPERFORM, INTERFACE MAY ELECT TO REFUND ALL PAYMENTS ACTUALLY RECEIVED BY INTERFACE FROM CUSTOMER FOR THE TRAINING IN QUESTION, IN FULL SATISFACTION OF INTERFACE’S OBLIGATIONS. SUCH REFUND SHALL CONSTITUTE INTERFACE’S ENTIRE LIABILITY AND CUSTOMER’S EXCLUSIVE REMEDY FOR SUCH BREACH. IN NO EVENT SHALL THE AGGREGATE LIABILITY FOR DAMAGES OF INTERFACE, ITS EMPLOYEES OR AGENTS, ARISING FROM THESE TERMS WHETHER BY CONTRACT OR TORT EXCEED THE AMOUNTS CUSTOMER ACTUALLY PAID INTERFACE. TO THE EXTENT NOT PROHIBITED BY LAW, THE LIMITATIONS IN THIS SECTION SHALL APPLY TO PERSONAL INJURY AND DEATH.
8. General.
The laws of the State of Arizona shall govern these Terms and shall be applied as if these Terms were entered into and performed entirely within Arizona between Arizona residents. The venue for settling any disputes shall be the courts for the jurisdiction of Maricopa County, Arizona. Neither party shall be liable for any delay or failure to meet its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to war, riot, insurrection, civil commotion, labor strikes or lockouts, shortages, factory or other labor conditions, fire, flood, earthquake or storm. If any provision of these Terms should be held to be unenforceable or invalid for any reason, such unenforceability or invalidity shall not affect the enforceability or validity of the remaining provisions, and the parties will substitute for such provision an enforceable and valid provision that most closely approximates the intent and economic effect of the unenforceable or invalid provision. No modification to these Terms will be binding unless it is in writing and signed by an authorized representative of each party. Interface may use subcontractors to perform Training. No assignment is permitted by Customer under these Terms and any attempt to assign shall be null and void.
9. Interface Gold Open Enrollment Classes

- Cancelling/ Reschedule/ Substitution of Training.
- For Interface Gold classes we ask for as much notice as possible for cancellations, reschedules, and substitutions of training. There will be no fee to cancel, reschedule, or substitute training as long as Interface does not incur any extra expenses.
- All credit card refunds are subject to a 10% processing fee.
- If courseware has already been issued in the event of reschedules or substitutions students are responsible for their courseware and labs. Interface will not issue a replacement copy without additional fees. Audit/Retake/Resit
- Students are able to audit/retake/resit classes within a one-year period without fee, assuming there are no third-party fees associated to the seat. If the courseware or labs have changed from the original class the student attended, the student will be required to purchase new courseware or labs.
- Audit/retake/resit registrations are on a space-available basis and is subject to cancellation if the seat is needed for a paying student. We understand your training is important and will try to accommodate you in this class. If your seat is needed, we will contact you to reschedule your audit.
- Students are required to have access to your original courseware and labs, as we cannot provide you with a replacement copy without an additional fee.
10. Interface Gold Private/Closed Classes, Onsites, and Room Rentals
- Customer must notify Interface fifteen (15) or more business days in advance of scheduled training or rental to request cancellation, reschedule, or student substations. For cancellation or reschedule requests received less than fifteen (15) business days prior to class or rental start date, a fee equal to 50% of the total class price will apply. For cancellation or reschedule requests received less than ten (10) business days prior to class or rental start date, a fee equal to 100% of the total class price will apply.
11.Interface Gold Private/Closed Classes, Onsites, and Room Rentals
- Customer must notify Interface fifteen (15) or more business days in advance of scheduled training or rental to request cancellation, reschedule, or student substations. For cancellation or reschedule requests received less than fifteen (15) business days prior to class or rental start date, a fee equal to 50% of the total class price will apply. For cancellation or reschedule requests received less than ten (10) business days prior to class or rental start date, a fee equal to 100% of the total class price will apply.
12. Tech Paks
- Tech Paks are non-refundable.
- All learning units must be used before the expiration date.
- Payment must be received prior to attending classes.
- Tech Paks cannot be combined with any other promotions or discounts.
- Tech Paks are for Interface Gold classes only.
- Interface cancellation and reschedule policies apply for all registrations using Tech Pak Learning Units.
13. Interface Delivered Cisco Classes
- Cancellations and Reschedules
- Due to Cisco’s new policy Interface delivered Cisco training is subject to specific cancellation and reschedule fees. Training cancelled or rescheduled between (28) and (15) days before class are subject to a minimum cancellation fee of $75. Training cancelled or rescheduled (14) to (0) days before training will be charged a fee equal to the fill amount of the courseware price.
- Students who reschedule will be charged a fee equal to the full amount of courseware.
- In the event of rescheduling, students are required to have access to any courseware or labs provided as we cannot provide a replacement copy without an additional fee.
- Substitution of Enrollees
- Substitutions are subject to restrictions and fees when applicable. It is the responsibility of the Customer to ensure the substitute student meets the stated course prerequisites and is provided with any course materials already provided to the students .
- In the event of substitution, students are required to have access to any courseware or labs provided. We cannot provide a replacement copy without an additional fee.
- Audit/Retake/Resit
- Audits/retakes/resits are subject to applicable third-party fees
- Students are required to have access to any courseware or labs provided, as we cannot provide a replacement copy without an additional fee.
14. Partner Delivered Classes (applicable classes subject to change)
- Cancellation/reschedule/Substitution
- Most partner delivered classes require a (10) business day cancellation, reschedule and substitution notice. Partner delivered classes are subject to 3rd party vendor fees. Interface reserves the right to pass on third party fees to the Client in the event of a change in registration. These third-party policies are subject to change without notice, the most current third-party policy overrides any information listed on this page. Interface agrees to update these policies as best we can in a timely manner. These policies are subject to change at the direction of the resold or licensed party and changes and modifications to these polices may not be updated. Policies are available upon request.
- In the event of reschedules or substitutions students are required to have access to any courseware or labs provided, as we cannot provide a replacement copy without an additional fee.
15. Non-Interface Delivered Cisco Classes
- Cancellations and Reschedules
- We understand that there are reasons that are beyond control that may cause our students to either cancel or reschedule their course enrollment. For any cancellations, substitutions or reschedules, written notice must be given to Interface Any student that chooses to reschedule will be given a (6) month time frame to attend a new training date.
- Reschedule
- If a student chooses to reschedule their enrollment more than (28) days prior to the start of class, we will do so with no penalty. If a student chooses to reschedule less than (28) days prior to the training start date they will be subject to a reschedule fee. The fee will depend on the class and the timing.
- Cancellations
- For cancellation notice received more than fifteen business days prior to the class date, students may receive either a full refund or reschedule into another class date. For cancellation notice less than fifteen business days prior to the class start date, students will receive an Interface voucher in the amount of the paid tuition to use for the same course up to a six months’ time frame and will be automatically put onto the wait list of the course of their choice and granted final admission five business days prior to class start day based on enrollment levels.
- Substitutions
- Student substitutions may be made at any time prior to the class start date. It is recommended that students substitute instead of cancel. Failure to attend without written notice to Interface prior to the class start date will be considered a no show and will result in forfeiture of the full course price.
- Satisfaction
- If for any reason a student attending a non-Interface delivered Cisco class is not satisfied with their training experience, they are required to notify Interface in writing no later than close of business on the first day of class during their training week. Any student attending class beyond the first day of class without notifying Interface is not eligible for any form of compensation with regard to satisfaction.

17. Citrix Training
- Cancellation, Reschedule, and substitution Policy
- We ask that you notify us as soon as possible if you need to cancel or reschedule a class. A substitute student may be sent in your place. Students who do not show up for class without providing prior notice will be charged in full for the training. If you wish to cancel or reschedule, you must provide a minimum of fourteen (14) days’ notice. If you cancel or reschedule less than fourteen (14) days in advance of the start date for the class in question, you will be charged in full for the training. However, you can retake the class with Interface free of charge for up to 6 months after the scheduled date of your class. Interface will provide a minimum of seven(7) days’ notice if a class is cancelled or rescheduled due to low enrollment.
18. VMWare and Net App Training
- Audit/Retake/Resit
- After you have completed a paid course, you are eligible to re-sit the same class (provided it is the same version) within twelve (12) months of your original course date using your same materials on a space available basis.
- Satisfaction Guaranteed
- If, before the end of the first day of the course, you are not satisfied and notify the instructor you wish to withdraw, you will receive a full refund of all course fees paid. This is applicable only to Fast Lane-delivered courses.
- Cancellation
- You may cancel fifteen (15) or more days from the start of the class with no penalty. If payment was made and a cancellation request is received within fifteen (15) calendar days of the start of the class, it is considered “late” and you will receive a credit which can be used to reschedule to the same, equal or lesser valued course. You are allowed a total of two (2) late cancellations or late reschedules, resulting in course credit. After a second late cancellation or reschedule, the entire original course fee will be forfeited, and an additional course fee will be required for a new registration.
- Any credit you might accrue is only valid for one (1) year from the date of the initial cancellation or reschedule.
- Reschedule
- If a student chooses to reschedule their enrollment more than 28 days prior to the start of class, we will do so with no penalty. If a student chooses to reschedule less than 28 days prior to the training start date they will be subject to a reschedule fee. The fee will depend on the class and the timing.
- Substitutions
- Student substitutions may be made at any time prior to the class start date. It is recommended that students substitute instead of cancel. Failure to attend without written notice to Interface prior to the class start date will be considered a no show and will result in forfeiture of the full course price.
- No Show
- Failure to attend without prior written notice to the start date of the course will be considered a “no show” and will result in forfeiture of the full course price including NetApp courses paid for with NetApp Training Units.
19. RGFreeman
- Cancellation
- Cancellations made between seven (7) to fourteen (14) days before class are subject to a fee of 50% of the training. Cancellations made less than seven (7) days prior to training will be subject to a fee of the full training price.
- Rescheduling
- Reschedules made between seven (7) to fourteen (14) days before class are subject to a fee of 50% of the training. The student will then be able to sit class at a later day with the credit of previous training deducted. Reschedules made less than seven (7) days prior to class are subject to a fee of the full training price. The student will then be able to sit class at a later day with the credit of previous training deducted.
- No Show
- Failure to attend without prior written notice to the start date of the course will be considered a “no show” and will result in forfeiture of the full course price.
